OF
THE BULLDOG CLUB OF AMERICA

ARTICLE I

FOREWORD

In recognition of the changes which have occurred since this Club was organized in 1890, and incorporated under the laws of the State of New York on February 29, 1904, and desiring to form a more effective organization through which people in the United States of America (including Territories and Possessions), actively interested in the bulldog breed, may unite in the accomplishment or pursuit of the purposes for which this Club was formed, we the Members of The Bulldog Club of America, establish and adopt this revised Constitution.

The objects of the Club were well stated by the founders. Without essential change, we restate our purposes as follows:

  1. To maintain a standard of excellence for the guidance of breeders, owners and judges. 
  2. To improve the breed through encouragement of effort directed toward approach to, or attainment of, the degree of excellence set forth in the standard of the bulldog breed. 
  3. To stimulate interest in competitive public showings of bulldogs. 
  4. To further the interests of the Breed. 
  5. To work for the general good of breeders, owners and exhibitors of bulldogs.

 

ARTICLE II

POLICY

Believing that the best interests of the breed, in a country as large as ours are best served by sectional groups united in a strong national organization we declare our policy to be to support and promote the general welfare of local bulldog specialty clubs, the objects and conduct of which are in harmony with the purposes of this Club.
 
 

ARTICLE III

FORM OF ORGANIZATION

The basic unit of the Club shall be the member, who may be an individual, or a bulldog specialty club. Each member shall have one vote.

 Because of the size of our country and the great distances separating some members from others, and to provide for effective and equitable administration, Divisions shall be established by suitable groupings of states Each Division shall be governed by a Board of Governors and officers elected by members of the Club residing in such Division.

 Each Division shall conduct the affairs of the Club in its territory and shall advise The Council in matters which, although pertaining to the Division, are required to be acted upon by the national government. The Council shall give great weight to the advice of a Division upon a matter peculiar to that Division.

 The Club shall be governed nationally by a representative Council and by officers elected by the members.
 
 

ARTICLE IV

SECTION 1. The Divisions of the Club shall be as follows: 

  • Division No.1. Connecticut, Delaware, Maine, Massachusetts, New Hampshire, New Jersey, New York, Pennsylvania, Rhode Island and Vermont.
  • Division No.2. Illinois, Indiana, Kentucky, Michigan, Ohio, West Virginia and Wisconsin. 
  • Division No. 3. Arizona, California, Hawaii and Nevada. 
  • Division No. 4. Arkansas, Colorado, Louisiana, New Mexico, Oklahoma, Texas, Utah and Wyoming. 
  • Division No. 5. Alaska, Idaho, Montana, Oregon and Washington. 
  • Division No. 6. Iowa, Kansas, Minnesota, Missouri, Nebraska, North Dakota and South Dakota. 
  • Division No. 7. District of Columbia, Maryland, North Carolina, South Carolina and Virginia. 
  • Division No. 8. Alabama, Florida, Georgia, Mississippi and Tennessee.

Members residing in any foreign country or in any Territory or Possession of the United States may choose the Division most accessible to them.

 SECTION 2. Each Division shall be governed by a Board of Governors (which includes the President, Vice President, Treasurer, Secretary and Governors) elected by the members residing in such Division in accordance with the Divisional By-Laws.

 For the purpose of clarity, the Constitution and By-Laws will use the prefix "Club" before the National Officers and "Div." before the Division Officers, i.e., Club Secretary, Div. Secretary.
 
 

ARTICLE V

SECTION l. The legislative power to propose By-Laws and amendments thereto shall be vested in The Council of The Bulldog Club of America, which shall consist of elected Councilors. By-Laws and amendments thereto, proposed by The Council, shall be submitted to the membership for vote and when approved by a majority vote of the membership, shall be submitted to the American Kennel Club for approval and shall become effective when said approval is received from the American Kennel Club.

The phrase "by a majority vote of the membership" means one-half plus one or more votes, actually cast, regardless of the total number of eligible votes in the Club.

The President shall vote only when The Council is evenly divided on any question. The other officers of the Club shall be informed concerning all matters submitted to the vote of The Council, so that they may inform The Council of matters in their particular care, but such officers shall have no vote in The Council.

SECTION 2. The elected Councilors shall be chosen biennially by the members of each Division.

A Councilor shall be at least twenty-five years of age, and shall when elected be residing in the Division in which he is chosen.

Elected Councilors shall be apportioned among the several Divisions according to the respective numbers of votes on the thirty-first day of December last preceding each election The number of members and votes in each Division shall be certified to The Council annually at the first meeting, by the Secretary of the Club. The number of elected Councilors shall not exceed one for every fifty votes, but each Division shall have at least one elected Councilor.

In the event a Councilor cannot attend a National Council meeting, an alternate Councilor may attend with full voting privileges for that meeting only. He or she to be selected from the following Divisional Officers in preferred sequence: The President, Vice President, Secretary, Treasurer and if not these, the Division President would select some other BCA member who resides in and is a member of that Division.

When vacancies happen in the Councilors from any Division they shall be filled by special elections of the Division Membership.

The President of the Club shall be President of The Council; the Vice President of the Club shall act in the absence or disability of the President. The Secretary of the Club shall be the Secretary of The Council. The Treasurer of the Club shall be the Treasurer of The Council.

SECTION 3. The times, places and manner of holding elections for Councilors shall be prescribed in the Divisional By-Laws. 

The Council may assemble at such times and places as may be agreeable to a majority of the Councilors. If there be no assembly agreed upon for any quarter-year, the Council shall act by mail ballot upon any matter submitted to it by the Executive Committee. 

SECTION 4. Council shall be the judge of the elections, returns and qualifications of its own members, and a majority of the Councilors, acting in person or by mail ballot, shall constitute a quorum to do business; any action of The Council shall require the affirmative vote of a majority of The Council. 

The Council may determine the rules of its proceedings, and expel a Councilor by unanimous consent of the other Councilors. 

The Council shall keep a journal of its proceedings, and annually or more frequently publish the same to the members of the Club. The Council vote shall be made a matter of public record to the BCA membership. 

SECTION 5. The Council shall have power to make appropriations from the revenues of the Club, for the general and specific purposes set forth in the Forward. 

SECTION 6. The Council shall have no power to create or incur debt, for the payment of which funds are not immediately available. 

SECTION 7. No Division of the Club shall have power to fix dues for membership nor make any assessment against its Division membership except at the direction of the Council. 

 

ARTICLE VI

SECTION 1. The executive power shall be vested in an Executive Committee consisting of the officers of the Club, and such Councilors as may reside in the Division in which a majority of the officers reside. The President of the Club shall be chairman of the Executive Committee. The quorum for meetings of the Executive Committee shall be a majority. 

SECTION 2. The officers of the Club shall be a President, a Vice President, a Treasurer, a Secretary and a Delegate to the American Kennel Club. No member shall be eligible for more than one office during each term. The Delegate to serve until his successor is appointed and accepted by AKC. The officers shall hold office during the term of two years and shall be elected by the members of the Club as follows. 

The designated Division from which a majority of the Officers of the Club shall be chosen biennially, shall be in succeeding numerical sequence with no exceptions; the next higher division from the one presently having these officers. When the cycle is complete it shall be repeated in sequence starting with Division 1 to Division 2, etc. The Board of Governors of such designated Division shall constitute the Nominating Committee. They shall assemble in the second calendar quarter of each odd numbered year and nominate by majority vote one member of the Club for each office. 

The By-Laws shall define the eligibility requirements for a member of a Bulldog specialty club for the purpose of computation of dues. The nominees for the offices of President, Vice President, Treasurer and Secretary shall be residents of the Designated Division. 

The nominee for the office of Delegate to the American Kennel Club shall be a resident of the United States of America. 

The nominations shall be submitted to the Council, which may not amend the nominations by the deletion of any name; but the Council may in its discretion make one additional nomination for each or any office. 

Ballot containing the names of all nominees for each office shall then be sent to each member in good standing by the Club Secretary in the month of August with a return envelope addressed to the Club Secretary. Election day shall be the third Friday of October in each odd numbered year. Between closing day and the 15th day of November, the Secretary shall present the unopened returned ballots to the Executive Committee, which shall make a list of all persons voted for and the number of votes for each. 

If there is only one candidate for each office, the Secretary will be empowered to suspend the designated election procedure and to cast a single ballot without polling the entire membership. 

The persons having the greater number of votes for each office shall be the officers of the Club. Persons so elected to national office shall not during their terms as National officers, hold divisional office concurrently. The members shall be informed promptly as to the election results. If more than one nominee have the greater and an equal number of votes for any office, then The Council shall as promptly as possible choose by ballot one of them for such office. 

In the case of the removal of any officer from office, or of his death, resignation, or inability to discharge the powers and duties of his office, the Council shall elect his successor to serve for the remainder of the term except in the case of the President whose office shall be filled by the Vice President and a new Vice President elected by The Council, or in the case of the President-Elect, whose office shall be filled by the Vice President-Elect and a new Vice President-Elect elected by the Council. 

The Secretaries of the several Divisions shall upon election to office in the Divisions become Assistant Secretaries to the National Secretary. The Treasurers of the several Divisions shall upon election to office in the Divisions become Assistant Treasurers to the National Treasurer. 

 

ARTICLE VII

The Council, whenever two thirds agree to the necessity, shall propose amendments to this Constitution. Amendments may also be proposed by the petition of members having 20% of the total number of certified votes in the last annual certification by the Secretary of the Club to the Council. Such proposed amendments shall be submitted to the membership for vote and, when approved by a majority vote of the membership, shall be submitted to the American Kennel Club for approval and shall become effective when said approval is received from the American Kennel Club. 

The phrase "by a majority vote of the membership", means one-half plus one or more votes actually cast, regardless of the total number of eligible votes in the Club.

OF
THE BULLDOG CLUB OF AMERICA

 

ARTICLE I

Members

SECTION l. Individual members of the club shall be at least eighteen years old, unlimited in number and of three (3) classes: resident, foreign and honorary. All Classes shall have equal rights, responsibilities and beneficial interests, except as described herein.

 Honorary members shall be specifically exempted by the Council from payment of annual dues in consideration of a long period of meritorious activity in the interest of the bulldog breed and shall not be eligible to vote or hold elective office. 

Foreign members, not residing in the United States of America, shall not be considered residents of the Division they select and therefore shall not be eligible to hold elective office. 

A Bulldog specialty club may be a member of the Club and shall have the same voting rights, responsibilities and beneficial interests as an individual active member. 

Member Bulldog specialty clubs must be recognized by and be in good standing with the American Kennel Club and be located within one of the eight (8) Divisions as defined in Article IV of the Constitution. In order to maintain Club membership status within the Bulldog Club of America; all member Bulldog specialty clubs must hold at least one American Kennel Club approved event per year (Sanction B and/or OB matches qualify). 

SECTION 2. An application for individual membership shall be submitted to the Secretary of the Division in which the applicant resides, in a form designated by the Club, setting forth the name, age, address and the Bulldog specialty club membership of the applicant, if any, with brief remarks indicating the interest of the applicant in Bulldogs (i.e. breeder, owner, exhibitor, judge or professional handler). The applicant must be proposed for membership by a member in good standing. Dues for that calendar year only, shall be made with the application. When a new member or member club joins before May 31, their vote can be counted at the biennial meeting. Payment shall be returned if the application is rejected. 

The power to consider, accept or reject such applications for membership is hereby delegated to the Divisional Board of Governors, to which all applications shall be presented by the Divisional Secretary at the Divisional meeting following receipt of the application requiring a majority vote for acceptance by the Board of Governors.

Application of Bulldog specialty clubs for membership shall follow the same procedure, but must include in addition, a short history of the club, a copy of its Constitution and By-Laws and a list of its officers and active members in good standing with their addresses. 

After acceptance by a majority vote of the Division Board of Governors, a copy of the application shall be retained by the Division Secretary. The new member application shall be promptly forwarded to the Club Treasurer along with 75% of the Dues. The Division Treasurer shall retain 25% of the dues and shall promptly notify the applicant of his election into membership. 

 

ARTICLE II

Dues

SECTION 1. The annual dues of each individual resident and foreign member (honorary members excepted) shall be payable in the month of January of each year; and shall not exceed $50.00 as determined annually by the Council for the upcoming calendar year. An foreign member surcharge shall also be determined annually by the Council for the upcoming calendar year and shall not exceed $25.00 per year. The Division Treasurer shall forward 75% of the annual dues and the foreign member surcharge to the Club Treasurer and retain for the Division.

 

There shall be no annual dues for member specialty clubs as such; annual dues of 50 cents per eligible member of such clubs shall be computed by the member club as of March 31st of each year and shall be payable through the member club in the month of May of each year. An eligible member for the purpose of computation of dues of a member specialty club, is hereby defined as one active and in good standing. The Division Treasurer shall forward 50% of the member specialty club dues  to the Club Treasurer by June 30 and retain 50% for the Division. 

A member club which fails to submit its dues to the National Treasurer through its respective Division by June 30th will lose its status of good standing membership in the Bulldog Club of America and will be suspended for a period of one year. 

SECTION 2. There shall be no initiation fee. 

 

ARTICLE III

Resignations and Discipline

SECTION l. Any member may resign, but there shall be no refund to such member of dues for the unexpired portion of any year, and such member shall cease to have any beneficial interest in the Club. 

SECTION 2. Disciplinary action shall be administered in accordance with instructions contained in the DIVISIONAL BY-LAWS, ARTICLE VI, Discipline.

 

ARTICLE IV

Duties of Officers

SECTION 1. The President shall be the principal executive officer of the Club, and shall preside at meetings of the Council, the Executive Committee and the members. He shall perform the duties delegated to him by the Council and the Executive Committee. He shall appoint all Committee Chairpersons with the advice and consent of the Executive Committee.  

SECTION 2. The Vice President shall perform the duties and exercise the powers in the absence or disability of the President. 

SECTION 3. The Treasurer shall be the custodian of the funds of the Club; he shall receive the dues of members and all other revenues, and deposit the same in the name of the Club in a banking institution approved by the Executive Committee. He shall make all disbursements by check, upon the order of the Executive Committee, but within the limitation of the appropriation by the Council for each purpose. He shall record the financial accounts of the Club and make such regular and periodic reports as may be required by the Executive Committee and the Council. He shall supply a fidelity bond, in any amount fixed by the Council, at the expense of the Club. He shall submit his records for audit to any Auditing Committee appointed by the President. 

SECTION 4. The Secretary shall attend all meetings of the members, the Council and the Executive Committee and record the minutes of such meetings. He shall be the custodian of all records of the Club, except the financial records maintained by the Treasurer. He shall notify members of their election or expulsion, and keep a record of members. He shall notify all other officers, committees, the Council, the members and the Secretaries of the several Divisions of all matters requiring the attention of any of these. 

SECTION 5. The Delegate to the American Kennel Club shall represent this Club in the meetings of members of the American Kennel Club. On all matters of which he shall have sufficient notice prior to any meetings, he shall be guided by the advice and instructions of the Council. In matters pertaining to the American Kennel Club, the Delegate shall render reasonable assistance to member specialty clubs and individual members. He shall report quarterly to the Council. 

SECTION 6. The outgoing Club Officers will transfer all Club property and materials to the new Club Officers during January. 

 

ARTICLE V

National Show Approvals

The designated Division containing the Club officers will hold the National Show in their Division their second year in office and approve the National Show the first year of the next biennium.


DIVISIONAL BY-LAWS
OF
THE BULLDOG CLUB OF AMERICA

 

ARTICLE I

Designation and Territory of Division

SECTION 1. The Divisions shall be designated by the numbers and consist of the territories provided by Article IV, Section 1 of the Constitution.
 
 

ARTICLE II

Objects

SECTION 1. The objects of the Division shall be to accomplish within the Division the second, third, fourth, and fifth purposes of the Club as stated in Article I of the Constitution; to follow the policy set forth in Article II of the Constitution; to inform and advise the Council, through the elected Councilors of the Division, in Bulldog matters of general interest; and to cooperate with adjacent Divisions.
 
 

ARTICLE III

Members

SECTION l. Members eligible to participate in Divisional matters shall be those in good standing who have been accepted in accordance with Article I of the By-Laws of the Club. The individual member shall have one vote. Such eligible member may be a nominee for office provided he is an individual resident member of The Bulldog Club of America. Member specialty clubs shall each have one vote.
 
 

ARTICLE IV

Government of the Division

SECTION l. The Division shall be governed under the Constitution, By-Laws and Divisional By-Laws by a Board of Governors consisting of the Divisional officers (President, Vice President, Secretary and Treasurer) and at least three and not more than five other members elected as Governors by the Division. The Board of Governors shall constitute the nominating Committee. They shall assemble between April and June of each odd numbered year and nominate by majority vote, with his permission, one resident member of the Division for each office and governor positions, circulating the slate to all clubs of the Division on or before July 31. The Clubs may not amend the nominations by deletion of any name, but each Club may, in its discretion, make one additional nomination for each or any office.

 

An individual resident member of BCA shall be placed on the ballot if he submits a petition signed by 20% of the paid-up members of the Division.

The Division Secretary shall notify the members and Clubs of the nominations and the time and date of the election day by August 30, preceding the elections. Mail Ballot containing the names of all nominees for each office shall be sent to each member in good standing with a return envelope addressed to the Division Secretary. 

If there is only one candidate for each office, the Secretary will be empowered to suspend the designated election procedure and to cast a single ballot without polling the entire membership.

Election day, if required, shall be held at the Biennial Meeting between September 15th and November 15th. in each odd numbered calendar year at a time designated by the Board of Governors. On that day, the Division Secretary shall present the unopened returned ballots to the Board of Governors who shall make a list of all persons voted for and the number of votes for each.

The persons having the greater number of votes for each office shall be officers of the Division. 

If more than one nominee has the greater and an equal number of votes for any office, then the Board of Governors shall, no later than thirty days, choose by ballot, one of them for each office. 

No member shall be eligible for more than one office during each term. 

SECTION 2. The term of office shall be two years, except that in the year in which the officers and governors are first chosen the term of office shall expire at the close of the next odd-numbered calendar year. 

SECTION 3. Councilors shall be nominated and elected in the same manner and for the same term as the officers and governors. Any resident member including officers and governors of the Division, shall be eligible for nomination and election to the Council. 

SECTION 4. The President shall preside at all meetings of the members and of the Board, and shall have the duties and powers normally appurtenant to the office. 

The Secretary shall record the minutes of all meetings of the members and of the Board, conduct the correspondence of the Division, notify membership applicants of their acceptance or rejection, notify members and Governors of meetings, and keep a roll of the members of the Club in the Division with their addresses. 

The Treasurer shall collect and receive all moneys due or belonging to the Division and receipt therefor. He shall deposit the same in a bank satisfactory to the Board, in the name of the Division. He shall make disbursements by check according to the order of the Board. His books shall be open to inspection of the Board and he shall render a report at each meeting of the Board, and at the biennial meeting of members. Bonding of the Division Treasurer shall be at the option of the Division Board of Governors and for an amount as set by the Board and at the Division’s expense. 

ARTICLE V

Meetings

SECTION l. The biennial meeting of members shall be held between September 15th through November 15th in each odd-numbered year on a day and at a place and hour designated by the Board of Governors. Special meeting of the members may be held upon call of the Board of Governors. Written notice of all meetings shall be mailed by the Secretary at least fifteen days prior to the date of the meeting. The quorum for such meetings shall be seven.

 SECTION 2. At meetings of the Members, the order of business, so far as the character and nature of the meeting may permit, shall be as follows:

SECTION 3. Meetings of the Board of Governors shall be held quarterly at such time and place as may be agreeable to a majority of the Board. The Board may delegate to any officer, performance of the routine business of the Division, subject to notice to all members of the Board and the written concurrence of a majority of the Board. Written notice of all meetings of the Board shall be mailed by the Secretary at least ten days prior to the date of the meeting. The quorum for such meetings shall be four.

SECTION 4. At meetings of the Board, the order of business, unless otherwise directed by a majority vote of those present, shall be as follows:

SECTION 5. The Board may appoint committees to advance the work of the Club in the Division on such matters as dog shows, trophies, annual prizes, membership and other fields which may well be served by committees. Such committees shall always be subject to the final authority of the Board.

 SECTION 6. Vacancies in any office or on the Board may be filled for the unexpired portion of the term, by majority vote of the Board.
 
 

ARTICLE VI

Discipline

SECTION 1. Any member who is suspended from the privileges of The American Kennel Club automatically shall be suspended from the privileges of The Bulldog Club of America for a like period.

 

SECTION 2. Any member may prefer charges against a member for alleged misconduct prejudicial to the best interests of The Bulldog Club of America or the Bulldog breed. Written charges with specifications must be filed in duplicate with the Secretary of the resident Division of the member be charged. A deposit of $250.00 must accompany the written charges which shall be forfeited if such charges are not sustained by the Divisional Board’s initial consideration or findings following the Divisional Board hearing. The Division Secretary shall promptly send a copy of the charges to each member of the involved Division Board or present them at the next quarterly meeting. The Division Board shall first consider whether the actions alleged in the charges, if proven, might constitute conduct prejudicial to the best interest of The Bulldog Club of America or the Bulldog breed. If the Division Board considers that the charges do not allege conduct which would be prejudicial to the best interest of the Club or the Bulldog breed. It may refuse to entertain jurisdiction. If the Division Board entertains jurisdiction of the charges, it shall fix a date of hearing by the Division Board not less than 3 weeks nor more than 12 weeks thereafter. The Division Secretary shall promptly send one copy of the charges to the accused member by certified mail together with a notice of the hearing and an assurance that the defendant may personally appear in his own defense and bring witnesses if he wishes.

 

SECTION 3. The Division board shall have complete authority to decide whether counsel may attend the hearing, but both complainant and defendant shall be treated uniformly in that regard. Should the charges be sustained after hearing all the evidence and testimony presented by complainant and defendant, the Division Board may by a majority vote of those present suspend the defendant from all privileges of the Club for not more than one year from the date of the hearing. And, if it deems the suspension punishment insufficient, it may also recommend to the Division membership that the penalty be expulsion. In such case, the suspension shall not restrict the defendant’s right to communicate his position to the Division membership by whatever means he chooses. If the defendant’s communication is to be included with the Division Board’s report to the Division membership, it must be provided in a timely manner and not exceed five letter size pages. Immediately after the Division Board has reached a decision, it’s findings shall be put in written form and filed with the Division Secretary. The Division Secretary, in turn, shall notify each of the parties of the Board’s decision and penalty, if any.

 

SECTION 4. Expulsion of a member from the Club may be accomplished only by a mailed ballot vote of the Division membership following a Division Board hearing and upon the Division Board’s recommendation as provided in Section 3 of this Article. The Division Secretary shall report the Division Board’s findings to the Division membership, which shall vote by mail ballot on the proposed expulsion. A two-thirds vote of those voting shall be necessary for expulsion. If the expulsion is not voted, the Division Board’s suspension shall not be affected.

 

 ARTICLE VII

Amendments

SECTION 1. These Divisional By-Laws may be amended only in accordance with Article V, Section 1, of the Constitution.
